These Merchant Terms govern the connection of a Shopify store or other commerce platform to DripCollector and operation of a merchant machine. They are between DripCollector Ltd, company number 17369183, and the merchant accepting them. Our Terms of Service, Privacy Policy, and Data Processing Addendum also apply.
You accept these Merchant Terms and the incorporated Data Processing Addendum by affirmatively accepting them during the store-connection flow or through another acceptance mechanism we provide. The person accepting represents that they are authorized to bind the merchant. Merely viewing this page does not create a merchant agreement.
Connecting Shopify authorizes DripCollector through Shopify OAuth to read the product catalog, adjust shared inventory, and create merchant-approved discount codes under the permissions displayed by Shopify. These permissions support product import, optional automatic import, machine allocation, inventory synchronization, and discount fulfillment. We will request approval before materially expanding access. You may revoke access through Shopify or the DripCollector store settings.
For store and customer personal data processed solely to provide merchant features, including the store-side mapping used to begin customer authentication, the merchant is controller and DripCollector is processor under the DPA. Connecting a store and configuring features documents the merchant's instructions. Once a customer creates or links a DripCollector account, DripCollector independently controls that account's identity record for authentication, security, fraud prevention, recovery, legal compliance, and completed DripCollector transactions.
Where enabled, customers may authorize Shopify to provide their store-specific customer identifier and email to DripCollector for authentication, unified-account linking, duplicate prevention, and recovery. The merchant must not use this feature to bypass required notice or consent. DripCollector does not automatically merge accounts solely because emails match and may require additional verification.
You control the merchant settings made available in the dashboard. You must ensure your machine configuration and customer disclosures are accurate and lawful. We may suspend a machine or integration where reasonably necessary to protect customers, platform integrity, or legal compliance and will provide notice where practicable.
Each party will protect the other's non-public business, technical, security, and customer information, use it only to perform this agreement, and disclose it only to personnel and providers who need it and are subject to confidentiality duties, except where disclosure is legally required.
The parties will reasonably cooperate on data-subject requests and verified Shopify privacy instructions. Following disconnection, uninstall, or a shop-redaction instruction, DripCollector will stop the affected processing and delete or return merchant personal data as provided in the DPA, subject to lawful retention and independent-controller records.
Fees, revenue shares, settlement, inventory ownership, and payout terms apply only where separately presented and accepted in writing or through the merchant dashboard. Nothing on this page alone creates a payment obligation.
Either party may end the store connection subject to outstanding obligations. We may suspend or terminate merchant access for material breach, unlawful activity, security risk, non-payment of agreed fees, or conduct that risks Shopify, customers, or the Service.
The warranty disclaimers, liability limitations, and indemnities in the Terms of Service apply to merchant features to the maximum extent permitted by law. Nothing excludes liability that cannot legally be excluded.
We may update these Merchant Terms. We will identify each version by date and provide reasonable advance notice of material changes. Where required, we will request renewed acceptance. Our connection flow may record the accepting person, merchant, timestamp, and document versions.
These Merchant Terms are governed by the laws of England and Wales, and its courts have exclusive jurisdiction, subject to mandatory law. Contact DripCollector Ltd at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom, through official support channels, or at +44 7457 426504.
